Michał Lach fully implemented the share acquisition offer for NanoGroup worth PLN 4.6 million

The Company informs that on September 25, 2024, eCapital Sp. z o.o. owned by Michał Lach made a payment of the entire amount of PLN 4.6 million, thus fulfilling the obligation from the offer to subscribe for new issue shares submitted to NanoGroup on September 9, 2024.

In order to enable the investor to acquire shares of the new issue, the company convened an Extraordinary General Meeting on 23 October, the agenda of which included an item related to the increase in share capital and the issue of shares. The issue price in the draft resolution was set at PLN 3.50 per share, i.e. the maximum value of the offer to acquire shares submitted by eCapital.

At the same time, NanoGroup informs that the shares acquired under the planned issue and taken up by the investor will be the subject of an application for introduction to trading on the Stock Exchange after the company meets the conditions provided for by law, i.e. after prior publication of a prospectus in accordance with Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 on the prospectus to be published in connection with the public offering of securities or their admission to trading on a regulated market or after 12 months from the introduction to trading on the Stock Exchange of series L shares issued by the Company, which took place on 24 September 2024.
