Series N Share Issue Nears Completion: All Share Subscription Agreements Signed, Raising PLN 24.5 Million in Total
NanoGroup S.A. is on track to successfully complete its Series N share issue. All share subscription agreements under the offering have been signed, and the total capital raised amounts to PLN 24.5 million. The Company has therefore fully utilised the maximum number of shares specified in the resolution adopted by the Extraordinary General Meeting on 8 October 2025 concerning the increase in share capital.
On 16 February 2026, the Company entered into the final agreement with ECAPITAL sp. z o.o. for the subscription of 1,040,000 Series N shares at an issue price of PLN 2.50 per share. The investor made the full cash contribution of PLN 2.6 million.
The issue provided for an increase in share capital of up to PLN 9,800,000 through the issuance of up to 9,800,000 ordinary bearer Series N shares with a nominal value of PLN 1.00 each. The process was conducted by way of a private placement as part of a public offering, with an exemption from the obligation to prepare a prospectus.
A total of 5,260,000 shares, worth PLN 13,150,000, were subscribed for by the principal shareholder, eCapital, owned by Michał Lach, using funds obtained from the earlier sale of shares on the regulated market, including through an accelerated bookbuilding (ABB) process. The remaining shares were subscribed for by institutional and private investors, including entities that had previously held equity interests in the Company.
The vast majority of the shares have already been paid for. The Company is currently awaiting settlement of the final payment in accordance with the signed Share Subscription Agreements.
The funds raised have been allocated to an indirect investment in Auxilius Pharma S.A., a Polish pharmaceutical company operating under a virtual biotech model and specialising in the development of value-added medicines (Value Added Medications, VAM).
This investment is the first component of NanoGroup’s 2026–2028 development strategy, which aims to establish the Company among the TOP 3 Polish biotechnology groups, build a diversified project portfolio and secure strategic partnership agreements that will provide stable and recurring revenue.
