NanoGroup S.A. Summarises Its Key Achievements in 2025
NanoGroup S.A. looks back on its key achievements in 2025 – the best and most transformative year in the Company’s history. It was:
- a year of intensive project development and innovation,
- a year of securing stable funding,
- a year of successful capital investments,
- a year in which a new development strategy for 2026–2028 was adopted.
With this strategy in place, NanoGroup S.A. is strengthening its position as a leader by introducing modern solutions while maintaining stability and confidence for investors.
NanOX System – Progress Along the Development Pathway
2025 was a breakthrough year for the Company’s flagship project, the NanOX System, which aims to develop an innovative solution for the preservation and transport of kidneys prior to transplantation.
In September, the first NanOX Recovery Box device compliant with medical device requirements was unveiled. The project entered the engineering testing phase, alongside preparations for the certification process planned for 2026. The agreement with a notified body to initiate CE certification was scheduled to be signed as early as the beginning of Q1 2026.
The second component of the system is NanOX 4 Kidney perfusion fluid. Following the successful autotransplantation study in 2025, development focused primarily on selecting the final formulation, with completion planned for April 2026. This stage will ultimately enable the fluid to be manufactured to GMP standards, with production scheduled for September 2026.
Grants and Research Project Development
In 2025, NanoGroup S.A. and its subsidiaries successfully secured grant funding. The most significant achievement was NanoSanguis S.A.’s signing of a funding agreement worth PLN 22.8 million for the NanOX 4 Kidney project. The funding was awarded under the European Funds for a Modern Economy (FENG) programme and covers the project’s stages through to certification.
In addition, an agreement was signed with the Medical Research Agency to conduct research into innovative targeted cancer therapies, with funding of PLN 2.0 million.
Financing and Capital Stability
Another key achievement in 2025 was securing funding for the further development of the Group. A balanced approach was adopted, combining different sources of financing:
- A total of PLN 24.8 million in non-dilutive funding was secured through grant-funded projects.
- As part of the Series N share issue launched in October 2025, the Company raised a total of PLN 24.5 million. To date, PLN 19.7 million has been received in the Company’s account, while the total amount committed stands at PLN 22.3 million.
- Part of this amount (PLN 10.6 million) came from shares subscribed for under an investment agreement signed with NanoGroup S.A.’s principal shareholder, Michał Lach. The funds originated from the shareholder’s earlier sale of an equivalent number of shares on the regulated market, including through an accelerated bookbuilding (ABB) process.
- The Company also welcomed Polish investment fund management companies (TFIs) to its shareholder base, strengthening its ownership structure and increasing market interest.
Safe Innovation, Predictable Returns: Development Strategy for 2026–2028
In November 2025, NanoGroup S.A. adopted its development strategy for the coming years, with the aim of becoming one of the three largest Polish biotechnology groups by market capitalisation.
The strategy’s main priorities and targets for 2028 are:
- Market leadership – securing a place among the TOP 3 Polish biotechnology groups by market capitalisation.
- Partnering – signing at least two major partnership agreements that will provide predictable and recurring revenue.
- Pipeline – actively developing at least 10 projects within a diversified Group portfolio.
The strategy also call for the development of a diversified project portfolio, the use of simplified regulatory pathways and a focus on projects with strong commercialisation and partnership potential.
Investment in Auxilius Pharma S.A.
The first significant step under the newly adopted strategy was an investment of PLN 7.5 million in Auxilius Pharma S.A., which added projects with shorter and more predictable routes to market to NanoGroup S.A.’s portfolio. The investment was made through the ffVC fund, acting in coordination with NanoGroup S.A.
Auxilius Pharma S.A. specialises in the Value Added Medicines segment, offering improved versions of established medicines with shorter and more predictable commercialisation pathways. This investment is closely aligned with NanoGroup S.A.’s strategy of building a diversified portfolio of projects with strong market potential and recurring sources of value.
In addition, in 2025, NanoGroup S.A. finalised the acquisition from Pure Biologics S.A. of full rights to a patented aptamer platform. The transaction strengthened the Group’s research and development capabilities and expanded its technological options in diagnostics, blood filtration and targeted therapies.
Market Prospects for NanoGroup S.A. Projects
In 2025, further confirmation was obtained that the Company’s flagship project, the NanOX System, is at the centre of a potential market breakthrough.
A particularly strong indication was the Terumo–OrganOx transaction, valued at USD 1.5 billion, which demonstrated the real market valuation of solutions of this kind. Based on this transaction, NanoGroup S.A. prepared a case study, available at:
